1. Acceptance of Terms

By accessing or using NGP Hub ("the Service"), including our website, tools, games, AI services, and Discord community, you agree to be bound by these Terms of Service. If you don't agree with any part of these terms, please don't use our services.

NGP Hub is operated by NGP ("we," "us," or "our"). We reserve the right to update these terms at any time, and continued use of the Service constitutes acceptance of any changes.

When we make changes to these Terms of Service or important announcements, we may notify members of our Discord community using @here pings (online members only) for regular updates, or @everyone pings (all members) for critical security issues or breaking changes. By joining our Discord server, you consent to receiving these notifications.

2. Service Description

NGP Hub provides a variety of services including but not limited to:

  • Web-based tools and utilities
  • Roblox game experiences
  • AI chat services (Nirvana AI)
  • Community resources and Discord server
  • Development resources and documentation

Services are provided "as is" and may be modified, suspended, or discontinued at any time without notice. We're currently in Alpha, so expect bugs, changes, and improvements.

3. User Accounts

To access certain features, you may need to create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and current information
  • Notifying us immediately of any unauthorized access

You must be at least 13 years old to create an account, in compliance with COPPA regulations.

4. Acceptable Use

When using NGP Hub services, you agree NOT to:

  • Violate any laws or regulations
  • Harass, abuse, or harm other users
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems
  • Use our services for spam or commercial solicitation
  • Impersonate others or misrepresent your identity
  • Exploit bugs or vulnerabilities without reporting them
  • Use automated tools to scrape or abuse our services

Violation of these rules may result in immediate termination of your account and access to all services.

5. AI Services & Content

Our AI service, Nirvana, is provided for creative, productivity, and entertainment purposes. Nirvana combines advanced AI capabilities to assist with a wide range of tasks including but not limited to: coding assistance, creative writing, problem-solving, research, and general conversation.

By using Nirvana, you acknowledge and agree to the following:

  • You retain full ownership of any original content you create or input using the service
  • AI-generated responses are provided as suggestions and may not always be accurate, appropriate, or suitable for your needs
  • You are solely responsible for verifying the accuracy and appropriateness of AI-generated content before using it
  • You agree not to use the service for illegal, harmful, or malicious purposes including but not limited to: generating malware, creating harmful content, harassment, or violating others' rights
  • You acknowledge that conversations, prompts, and interactions may be logged, stored, and analyzed to improve Nirvana's performance, train future models, fix bugs, and enhance user experience
  • Nirvana may occasionally produce unexpected, incorrect, or inappropriate responses - this is a known limitation of AI technology
  • The service is provided "as is" and we make no guarantees about uptime, response quality, or availability
  • You understand that Nirvana's knowledge may be outdated or incomplete on certain topics

We reserve the right to moderate, review, or remove content that violates our community guidelines or terms of service. We also reserve the right to terminate access to Nirvana for users who consistently misuse the service or attempt to circumvent safety measures.

Nirvana is currently in active development (version 1.5-thinking) and features, capabilities, and availability may change without notice. Some features may be limited to certain subscription tiers.

6. Subscriptions & Payments

Certain services require a paid subscription. NGP Hub offers the following tiers:

  • Base Tier ($5/month): Access to standard tools and features
  • AI Only ($20/month): Full access to Nirvana AI services
  • Full Access ($30/month): Complete access to all NGP Hub features, tools, and AI services

By subscribing, you agree to:

  • Pay the stated subscription fee on a recurring basis
  • Automatic renewal unless you cancel before the next billing cycle
  • No refunds for partial months of service

You can cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. Some subscription tiers may not be available yet—check the website for current offerings.

7. Intellectual Property

All content on NGP Hub, including logos, designs, code, tools, and games, is owned by NGP or its licensors. You may not:

  • Copy, modify, or distribute our content without permission
  • Reverse engineer our tools or services
  • Remove copyright or trademark notices

User-generated content remains yours, but you grant us a license to use, display, and distribute it as necessary to provide our services.

8. DMCA & Copyright Claims

We respect intellectual property rights. If you believe content on NGP Hub infringes your copyright, please contact us with the following information:

  • Description of the copyrighted work you claim has been infringed
  • URL or location of the allegedly infringing content on our service
  • Your contact information (email, phone number, address)
  • A statement that you have a good faith belief the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

Send DMCA notices to our contact page at ngphub.com/contact. We will respond to valid notices in accordance with the Digital Millennium Copyright Act.

9. Third-Party Services

NGP Hub integrates with third-party services like Discord, Roblox, and Firebase. Your use of these services is subject to their respective terms and policies. We are not responsible for the availability, content, or practices of third-party services.

10. Disclaimers & Limitation of Liability

NGP Hub is provided "as is" without warranties of any kind. We do not guarantee:

  • Uninterrupted or error-free operation
  • Accuracy or reliability of content
  • Suitability for any particular purpose

To the fullest extent permitted by law, NGP shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the last 12 months.

11. Termination

We reserve the right to suspend or terminate your access to NGP Hub at any time, with or without cause or notice. Upon termination:

  • Your right to use the Service immediately ceases
  • We may delete your account and associated data
  • Certain provisions of these terms will survive (e.g., intellectual property, disclaimers)

12. Governing Law & Dispute Resolution

These Terms of Service are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Fresno County, California.

Arbitration Agreement: For any dispute, claim, or controversy arising out of or relating to these Terms or your use of NGP Hub, you agree to first contact us to attempt to resolve the issue informally. If we cannot resolve the dispute within 30 days, you agree that any legal action will be resolved through binding arbitration rather than in court, except for small claims court disputes or disputes relating to intellectual property rights.

Class Action Waiver: You agree to resolve disputes with us on an individual basis only, and not as part of any class, consolidated, or representative action. This means you cannot join your claim with claims of other users.

13. Severability

If any provision of these Terms of Service is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

14. Yoad Discord Bot

NGP Hub operates "Yoad," a Discord bot that provides entertainment, music playback, AI chat, and community features within Discord servers. By inviting or using Yoad in your Discord server, you agree to the following terms specific to the bot:

Bot Features & Functionality:

  • Voice channel audio playback (music, sound effects, voice clips)
  • AI-powered chat responses using OpenAI models (YoadGPT and ChatGPT integration)
  • Random message interactions and reactions ("Yoad Chaos Mode")
  • Image generation capabilities (DALL-E integration, may be disabled)
  • Message logging and Discord event monitoring for bot functionality
  • Terminal-based control interface for bot operators

Data Collection & Usage: Yoad collects and processes the following data to provide its services:

  • Discord message content in channels where the bot is present (for command processing and AI responses)
  • Discord user IDs, usernames, and discriminators
  • Voice channel audio when "hearing mode" is enabled (played back in real-time, not stored)
  • Server/guild IDs, channel IDs, and message IDs
  • Timestamps of interactions and bot usage
  • AI conversation history (stored to improve AI responses and maintain conversation context)
  • Command usage logs and error reports

Important Notes:

  • AI conversation history with Yoad may be logged and used to improve AI models
  • Message content is logged in terminal output for bot operators and debugging purposes
  • Voice channel audio in "hearing mode" is transmitted in real-time but not permanently stored
  • The bot may randomly interact with messages (replies, reactions) when "Yoad Chaos Mode" is enabled
  • Image attachments may be previewed in the bot's terminal interface
  • Yoad is provided "as is" and may have bugs, unexpected behavior, or downtime

Bot Permissions & Access: Yoad requires certain Discord permissions to function, including:

  • Read Messages/View Channels - To see and respond to commands
  • Send Messages - To respond to users and send bot messages
  • Connect & Speak - To join voice channels and play audio
  • Add Reactions - To react to messages with emojis
  • Read Message History - To retrieve context for AI responses and Chaos Mode
  • Use Voice Activity - For voice channel audio features

Server administrators are responsible for configuring bot permissions appropriately and ensuring their server members are aware of the bot's presence and data collection practices.

Acceptable Use: When using Yoad, you agree not to:

  • Use the bot to spam, harass, or abuse other Discord users
  • Attempt to exploit bugs or vulnerabilities in the bot
  • Use AI features to generate harmful, illegal, or inappropriate content
  • Attempt to reverse engineer or extract the bot's source code
  • Overload the bot with excessive commands or requests

Termination & Access: We reserve the right to:

  • Revoke bot access from any server at any time
  • Ban users from using bot features for violations of these terms
  • Disable or modify bot features without notice
  • Discontinue the bot service entirely

Yoad is currently in active development and features may change frequently. By using the bot, you acknowledge that it is provided without warranties and that functionality may be modified, limited, or removed at any time.
